Companies House has recently announced the implementation of new powers aimed at enhancing the accuracy and integrity of company names registered in the UK. These measures are part of ongoing efforts to combat fraud and ensure transparency in the business environment.
The updated controls on company names include several key provisions:
1. Enhanced Rejection Criteria
Under the Economic Crime and Corporate Transparency Act, Companies House can now reject the registration of a company name if there is reason to believe it is intended to facilitate fraud, contains a computer code, or gives a false impression of connection to a foreign government or international organisation.
2. Directing Name Changes
Companies House has expanded its authority to direct companies to change their names in cases where the name has been used or is intended for fraudulent purposes. If a company fails to comply within 28 days, Companies House can determine a new name for the company, such as using it’s registered company number.
3. Offences for Non-Compliance
Failure to comply with a direction to change the company name within the specified timeframe is considered an offence. It is also an offence to continue using a company name that has been directed to change by Companies House.
4. Company Names Tribunal
The Company Names Tribunal continues to play a role in considering objections related to company names that infringe on existing trademarks or are likely to mislead due to similarity with other names.
These measures are designed to strengthen the accuracy of information on the Companies House register and maintain the UK’s reputation as a favourable place to conduct business.
